China company ( how changing to a virtual address )

Approval the Business License first

Firstly, take the originals of the original and duplicate of Business License with old address as well as the official seal, then fill in the ‘get Registration Form’, and rent a legally virtual registered address, ‘Circumstance Description’ ( reasons for renting the virtual address of registration ) and other relevant materials regarding the get.

Afterwards, submit the above materials to the Administration for Industry & Commerce, which will provide the Enterprise Receipt. The Administration for Industry & Commerce at the locus of old address will mail all your enterprise get materials to the Administration for Industry & Commerce at locus of the new address ( it will take about 2 weeks ).

After accomplishing all the formalities, please wait for the phone of Administration for Industry & Commerce at the new address upon receipt of the said documents for get. Then, please take the ‘Approval Notice of Enterprise Emigration’ to the new Administration for Industry & Commerce and handle the matters of address get there (fill in one ‘get Registration Form, Letter of Specified Authorization’ ). Take the ‘Notice on Address get Registration’ to the certificate-issuing counter and get the new ‘Business License’ after 7 days from the day when all formalities are finished.

Apply for the Organization Code Certificate

Go to the Technical Supervision Bureau at the old address to cancel the old ‘Organization Code Certificate’ ( materials needed: original and copy of the new Business License duplicate ), and issue the ‘Deregistration Certificate of Organization Code Certificate’.

Take the original of the ‘Deregistration Certificate of Organization Code Certificate’, original and copy of the new Business License duplicate and ‘copy of the legal person’s Identity Card’, fill in one ‘Form of Applying for the Organization Code Certificate’ and pay the certificate handing cost, then get the new ‘Organization Code Certificate’ with receipt of the certificate handling cost in 5 to 7 days.

Handling tax affairs of using a legal virtual registered address

1. Copy of the duplicate of the new Business License, Statistical Table on Tax Affairs in Recent 3 Years (by years, by tax categories), official seal, audit report, resolution of shareholders’ meeting, original copy of the original and duplicate of Tax Registration Certificate; fill in the Tax Registration get Table with the legal
representative’s signature on it.

2. After finishing the above formalities, please wait for the notification from the special administrator. Once receiving the notification, take along all the enterprise’ s accounts in recent 3 years to the special administrator for inspection, then wait for the inspection result;

3. Bring the official seal and necessary materials for the new enterprise to register (the duplicate of new Business License, Articles of Association, Permit of Opening a Bank Account, Identity Card of the legal representative or person in charge, financial seal, Organization Code Certificate, Housing Lease Agreement and rent invoice, all the above shall be copies). Return the original and duplicate of the old Tax Registration Certificate, then handle relevant procedures and issue the ‘Notice of Canceling Tax Registration’. Meanwhile, the special administrator will ask the enterprise to take its archives to the Department of Tax Collection & Management for handling relevant transfer-out formalities.

4. The enterprise brings its archives to the Department of Collection & Management in the new State Administration of Taxation and carry on the registration formalities there, afterward, it shall go to the tax-handling counter to accomplish the detailed tax registration formalities (copy of the duplicate of new Business License, copy of the legal person’s Identity Card, copy of the agent’s Identity Card and the like are needed) and get the original and duplicate of the new Tax Registration Certificate.

After done all of above processes, your China company will be approved to use a legal registration address for your China company.
