Compliance Documents for Registration of Partnership Enterprises
The registration items of a partnership enterprise include: the name of partnership enterprise, business premise, business scope, business mode, names and domiciles of partners, amounts and ways of capital contributions.
For a partnership enterprise with the partner to execute the affairs of partnership enterprise or establishment of branches, its registration items shall also include the circumstance of the partner executing the affairs of partnership enterprise or branches.
To set up a partnership enterprise, the representative specified or the agent entrusted by all partners shall apply to the enterprise registration authority for establishment registration, and submit the following documents:
- 1. Application for Establishment Registration signed by all partners;
- 2. Identity Certificates of all partners;
- 3. Letter of Authorization issued by the representative specified or the agent entrusted by all partners;
- 4. Partnership Agreement;
- 5. Contribution Ownership Certificate;
- 6. Use Certificate of Business Premise;
- 7. Other documents needed to submit subject to the regulations of the Administration for Industry and Commerce of the State Council.
For a partnership enterprise of which establishment is subject to examination and approval provided for by laws and administrative regulations, relevant approval documents shall also be submitted.
If one or several partner(s) is (are) appointed for executing the affairs of a partnership enterprise as agreed in the Partnership Agreement or decided by all partners, the Letter of Authorization signed by all partners shall also be presented.
The enterprise registration authority shall make its decision to grant registration or not within thirty days of the receipt of all the documents submitted by the applicant.
For an application meeting legal requirements, registration shall be granted, and a Business License shall be issued; for an application failing to meet the legal requirements, registration shall not be granted, and a written response explaining the reasons shall be issued.
Prior to the issuance of a Business License for the partnership enterprise, no partner may conduct business in the name of the partnership enterprise.
